SK hynix, a South Korean chipmaker, has abandoned plans for a potential $150 billion initial public offering of its NAND flash subsidiary, Solidigm. This decision was announced on Friday, marking the end of a 79-day review process that began on August 5. The cancellation reflects a strategic reassessment of financing options rather than a withdrawal from expansion plans.

Market considerations and strategic reassessment

The semiconductor industry has experienced a significant downturn, with semiconductor stocks undergoing a sharp correction. This has made it challenging for Solidigm to secure its desired valuation. SanDisk, a major US NAND producer, has seen its shares fall by approximately 40 percent from their June peak. SK hynix shares have declined by 35 percent over the past month, from 1.86 million won on September 23 to 1.22 million won on Thursday.

An SK hynix official stated, “Recent financial market volatility and a correction in semiconductor stocks made it increasingly difficult to secure the expected benefits, including an appropriate valuation.” By postponing the IPO, SK hynix can reassess its financing options and wait for more favorable market conditions. This decision appears to have been well-received by investors, as SK hynix shares rebounded by 2.62 percent to 1.26 million won by 2 p.m. on Friday.

Proceeding with the listing during a market downturn could have resulted in selling a stake in Solidigm at a valuation below management’s expectations. Now, the company can explore alternative financing options when market conditions improve.

Regulatory factors and ownership structure

The proposed IPO had also raised concerns about its potential impact on SK hynix’s existing shareholders. Solidigm accounts for approximately 12.9 percent of the parent company’s corporate value. Introducing outside shareholders at the subsidiary level could have reduced the parent company’s financial interest if new shares were issued. Critics argued that this structure could have deepened the valuation discount applied to SK hynix, even as Solidigm continued to grow.

The ownership chain is complex, with SK Inc., SK Square, and SK hynix already publicly traded, while Solidigm is a subsidiary of SK hynix’s US-based AI Company. A Solidigm IPO would have created a fourth publicly traded company within this five-tier structure. Financial Supervisory Service Governor Lee Chan-jin and Financial Services Commission Chairman Lee Eog-weon stated that the proposed US IPO would be subject to Korea‘s duplicate-listing guidelines, which require listed parent companies to assess the impact on shareholders and obtain board approval.

Although regulatory pressure was not the primary reason for canceling the IPO, the controversy highlighted the importance of preserving confidence in the parent company’s valuation and governance. The regulatory framework does not automatically prohibit such listings but raises the requirements for demonstrating that the transaction serves existing shareholders’ interests.

Future expansion and financing alternatives

SK hynix emphasized that the decision to cancel the IPO does not reflect a deterioration in Solidigm’s business prospects or a reduction in its investment requirements. Demand for enterprise SSDs continues to be driven by AI infrastructure investment, making additional production capacity a strategic priority. The company will evaluate the timing, scale, and financing of future investments to enhance Solidigm’s growth and shareholder value.

SK hynix has various financing options available, including internal cash generation, bank loans, corporate bonds, and potential partnerships to diffuse investment costs and risks. Solidigm’s improving profitability could also enable it to fund part of its expansion internally. The decision to cancel the IPO allows SK hynix to explore these alternatives and align its fundraising strategy with market valuations and regulatory expectations.
